An established and growing healthcare company providing outsourced revenue cycle management services requested an IPO readiness assessment. Prior to completing the analysis, the Company commenced preparing for an IPO. IPO Readiness Assessment & S-1 Filing:
- Delivered IPO readiness assessment report to Sponsor & CFO.
- Created an implementation roadmap for critical public company required functions and roles.
- Initiated and led weekly IPO steering committee with internal and external stakeholders.
- Sourced, calculated, and coordinated data inputs for S-1 confidential filings.
- Drafted S-1 management discussion & analysis (MD&A).
- Drafted proforma financials with Up-C structure and seed money balance sheet.
- Prepared SEC comments responses.
- Created CFO function staffing plan with org. chart & roles.
- Assessed control deficiencies, prepared material weakness disclosure and assisted with remediation plan.
- Created templates for Board of Directors meeting and chief operating decision maker (CODM) materials.

Audit Support and Controls Enhancement:
- Provided accounting guidance and drafted technical accounting memos for business combinations, segment reporting, reporting units, equity-based compensation, recapitalization, and goodwill impairment.
- Created supporting audit schedules and tie-out workbook.
- Drafted annual and quarterly financial statements and footnotes and completed the disclosure checklist.
- Prepared quarterly fluctuation analyses.
- Documented process narratives and flowcharts.
- Documented high risk controls including those associated with the COSO framework.
- Developed controls and policy for the disclosure review committee.
- Assisted in the development of the SOX 302 certification plan.
- Advised on third-party SOX implementation partner and timeline.
